Cancellation request require 30 day advance notice prior to billing date.

SMS & Phone Rates Apply all accounts will receive a pre-authorization for SMS and Phone Minutes.

By accessing or using our website, software platform, or services (collectively referred to as the “Service”), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.


1. DESCRIPTION OF SERVICE

Agent Flywheel provides software tools designed to help mortgage professionals generate opportunities, manage contacts, automate communications, and improve business production.

The Service may include but is not limited to:

• CRM software
• automation workflows
• messaging systems
• AI-powered tools
• marketing campaign templates
• training resources
• business automation tools

The Service is licensed, not sold, and access is provided under these Terms.


2. ELIGIBILITY

You must be at least 18 years old to access or use the Service.

By using the Service you represent that:

• you are legally able to enter into this agreement
• all information you provide is accurate
• you will comply with all applicable laws


3. ACCOUNT RESPONSIBILITIES

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

• provide accurate account information
• maintain updated contact information
• notify us immediately of unauthorized account activity

You are responsible for all activity that occurs under your account.


4. ACCEPTABLE USE

You agree not to use the Service:

• for unlawful purposes

• to scrape or harvest personal information
• to attempt unauthorized access to systems

Violation of these terms may result in account suspension or termination.


5. INTELLECTUAL PROPERTY

All systems, workflows, campaigns, frameworks, scripts, automation structures, training materials, and software features provided through the Service are proprietary intellectual property owned by Darling Insurance Groups Inc.

Users may not:

• reproduce
• distribute
• license
• reverse engineer
• create competing products

based on materials or systems provided through the Service.

Your access to the platform grants you a limited, non-transferable license to use the Service for your own business purposes.


6. TESTIMONIALS AND USER CONTENT

If you voluntarily submit testimonials, comments, reviews, or feedback, you grant Darling Insurance Groups Inc a perpetual, royalty-free license to use that content for marketing or promotional purposes.

You may request removal of testimonial content by contacting our support team.


7. SERVICE AVAILABILITY

We do not guarantee uninterrupted access to the Service.

The platform may be modified, updated, or temporarily unavailable due to maintenance, technical issues, or third-party service disruptions.


8. NO GUARANTEE OF LEADS, DEALS, OR INCOME

Agent Flywheel provides software tools and systems designed to assist users in improving business operations and generating opportunities.

However, we do not guarantee specific results.

Darling Insurance Groups Inc makes no guarantees regarding:

• leads generated
• appointments booked
• referrals received
• transactions closed
• income earned
• business growth or profitability

Results depend on factors beyond our control including user effort, experience, market conditions, responsiveness, and execution.

Testimonials, examples, or case studies represent individual experiences only and do not guarantee future results.


9. BILLING AND SUBSCRIPTIONS

Certain services require a paid subscription.

By subscribing, you authorize recurring billing using your provided payment method.

You agree to maintain valid billing information and keep your payment method current.

Failure to process payment may result in suspension or termination of your account.


10. CANCELLATION POLICY

Cancellation requests must be submitted at least 30 days prior to the next billing date.

Failure to provide notice within this timeframe may result in the next billing cycle being charged.

Cancellation does not entitle the user to a refund for prior payments.


11. REFUND POLICY — ALL SALES FINAL

Due to the nature of digital software access, proprietary systems, training resources, and immediate platform availability, all sales are final.

Upon purchase or subscription activation, users receive immediate access to the Agent Flywheel platform and proprietary systems.

Because digital services cannot be returned, no refunds, partial refunds, or credits will be issued for any reason, including:

• lack of use of the platform
• misunderstanding of the service
• failure to achieve business results
• failure to complete onboarding or training
• user error or technical misunderstandings
• changes in business strategy or market conditions


12. PAYMENT REFUND REQUEST/ DISPUTES

If you believe a billing error has occurred, you agree to contact Darling Insurance Groups Inc before initiating a payment dispute.

13. CHARGEBACK POLICY

By purchasing or subscribing to the Service, you agree not to initiate a chargeback without first attempting to resolve the matter directly with our team.

Because the Service includes immediate access to digital tools and proprietary systems, unauthorized chargebacks may result in:

• suspension of platform access
• termination of the account
• recovery actions for unpaid balances
• submission of dispute documentation to the payment processor

Documentation used to contest disputes may include:

• purchase confirmations
• Terms acceptance records
• login activity
• CRM usage records
• onboarding access logs
• support communications


14. MESSAGING AND COMMUNICATION COMPLIANCE

Users may send SMS, email, or phone communications through the platform.

You are solely responsible for ensuring compliance with applicable communication laws including:

• Telephone Consumer Protection Act (TCPA)
• CAN-SPAM Act
• Do Not Call regulations
• applicable consumer protection laws

You agree to:

• contact only individuals with proper consent
• maintain consent records
• honor unsubscribe requests
• comply with applicable marketing regulations

Darling Insurance Groups Inc is not responsible for user-generated communications.


15. DATA AND PLATFORM USAGE

Users are responsible for the accuracy and legality of data entered into the platform.

You agree not to upload or store any information that violates laws or infringes upon the rights of others.

Accounts that misuse the platform may be suspended or terminated.


16. DISCLAIMER OF WARRANTIES

The Service is provided “as is” and “as available.”

We do not guarantee that the Service will be uninterrupted, secure, or error-free.


17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Darling Insurance Groups Inc shall not be liable for:

• lost profits
• lost revenue
• lost data
• business interruption
• indirect or consequential damages

18. INDEMNIFICATION

You agree to indemnify and hold harmless Darling Insurance Groups Inc from claims or damages resulting from:

19. ARBITRATION AGREEMENT

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Texas under the rules of the American Arbitration Association.


20. CLASS ACTION WAIVER

You agree that disputes with Darling Insurance Groups Inc will be resolved individually.

You waive the right to participate in any class action lawsuit or class-wide arbitration.


21. LIMITATION ON CLAIMS

Any claim related to the Service must be filed within one (1) year after the claim arises.


22. FORCE MAJEURE

We are not liable for delays or failures caused by events beyond our control including:

• natural disasters
• internet outages
• telecommunications failures
• cyber attacks
• government actions


23. GOVERNING LAW

These Terms shall be governed by the laws of the State of Texas, United States.

This is not a money-back guarantee.

If all requirements below are met and a closing has not occurred, Agent Flywheel will continue providing platform access without monthly subscription billing until a transaction closes.

Clients remain responsible for usage costs including SMS or phone usage.


Guarantee Requirements

Individuals must meet all requirements below to qualify.

  1. At least 12 months of continuous usage of the Agent Flywheel platform.

  2. No more than 13 months since the original purchase date.

  3. Campaigns, qualification questions, targeting, or media may not be modified without approval.

  4. All inbound real estate agents must be called within 24 hours using the Agent Flywheel platform.

  5. You (or someone on your team) must call responding opportunities a minimum of three times within the first 30 days using the Agent Flywheel platform.

  6. Initial communication must begin using the provided automated messaging and scripts.

  7. You must show up on time for every booked appointment generated through the platform.

  8. You must attend at least two Agent Flywheel Workshop (Non Support) calls per month.

  9. Contacts or conversations within the CRM may not be deleted.

  10. You must complete the Agent Flywheel training sections:

    • Agent Flywheel Getting Started
    • The Basics
    • Unlimited Free Lead Section

  11. System errors must be reported to support within 24 hours.

  12. All subscription payments must have been made on time.

  13. You must have completed less than one closed transaction resulting from the system during the 12-month period.

  14. A formal guarantee request must be submitted via email to:

  1. After submitting a request, you must attend the required strategy call scheduled by our team.


Guarantee Outcome

If all requirements are verified and no closing has occurred, Agent Flywheel will continue providing access to the platform without monthly subscription billing until the first transaction closes.

Usage costs such as SMS or phone usage remain the responsibility of the client.
